These Terms form an agreement between Feathersmith Limited trading as Persuadly (“Persuadly”, “we”, “us”) and the business accepting them (“you”). They apply to business use of the Persuadly website, application and connected services. By creating an account, installing the Shopify app or using Persuadly, you confirm that you have authority to bind that business.
1. The service
Persuadly connects to supported commerce and email platforms, learns a business’s Brand Voice and uses automated technology to prepare email campaign drafts. The current service supports Shopify with either Klaviyo or Spoks. Features, providers and reasonable usage controls may change as the service develops.
Persuadly provides drafts, not legal, regulatory or professional advice. You must review every campaign before sending it.
2. Accounts and security
- Persuadly permits one user and one business account for each connected Shopify store.
- You must provide accurate information, keep credentials confidential and notify us promptly of suspected unauthorized access.
- You are responsible for activity performed through your account and for ensuring that you are authorized to connect each store and email account.
- Persuadly may suspend access where reasonably necessary to protect users, providers or the service.
3. Plans and Shopify billing
Persuadly plans are selected and billed through Shopify App Pricing. The Persuadly Trial Plan permits one successful email generation. The paid Persuadly plan is currently US $39 per 30-day billing cycle and permits unlimited email generations subject to fair and lawful use. Shopify displays and collects charges, taxes, billing approvals, prorations and plan changes.
A failed generation does not consume the one-email trial allowance. Plan access depends on Shopify confirming an active subscription. Cancellation, freezing, uninstalling or changing a Shopify subscription can alter access in accordance with the status and effective date reported by Shopify.
4. Your content, generated drafts and intellectual property
You retain rights in information and materials you provide and grant us a limited licence to host, process and transmit them to operate and secure the service. You confirm that you have the rights and lawful basis needed to use that material.
As between you and Persuadly, and to the extent permitted by law, you may use generated campaign output for your business. Automated output may be inaccurate, incomplete or similar to output produced for others. Persuadly does not guarantee originality, non-infringement, deliverability, sales or conversion results.
Persuadly’s software, branding, design, documentation and underlying technology remain owned by us or our licensors.
5. Acceptable use
You must not use Persuadly to:
- send unlawful, deceptive, unsolicited or abusive communications;
- make unsupported claims, fabricate reviews or misuse behavioural cues;
- process information you are not entitled to use, including sensitive personal information;
- probe, disrupt, reverse engineer or bypass security, tenant, plan or usage controls;
- infringe intellectual-property, privacy, consumer-protection or other rights; or
- violate Shopify’s, an email provider’s or another connected service’s terms.
6. Third-party services
Shopify, Klaviyo, Spoks, Anthropic and other connected providers operate under their own terms and availability. We are not responsible for their independent acts, outages, policy decisions or account restrictions. You authorize us to exchange the information necessary to perform the actions you request.
7. Availability and changes
We aim to provide a reliable service but do not promise uninterrupted or error-free availability. Pilot and preview functionality may change. We may perform maintenance, correct defects and make proportionate changes needed for security, providers, law or product development.
8. Suspension, cancellation and deletion
You may stop using Persuadly, change your Shopify plan or uninstall the app through Shopify. Uninstalling disconnects Shopify but does not by itself guarantee immediate deletion of all Persuadly account information. Follow the process on our Data Deletion page if you also want the Persuadly account deleted.
We may suspend or terminate service for material breach, non-payment, security risk, provider restriction or unlawful use, normally giving reasonable notice where circumstances permit.
9. Liability
Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence. Subject to that, neither party is liable for indirect or consequential loss, loss of profit, revenue, anticipated savings, goodwill or data.
Our total aggregate liability arising from the service in any 12-month period is limited to the greater of £100 and the fees paid for Persuadly during that period. This limitation does not affect your obligation to pay valid charges or liability arising from your unlawful use, infringement or breach of confidentiality.
10. General
These Terms, the Privacy Policy and applicable plan information form the agreement. If any provision is unenforceable, the remainder continues. A delay in enforcing a right is not a waiver. You may not transfer the agreement without consent; we may transfer it as part of a business reorganization or sale while preserving your rights.
English law governs these Terms and the courts of England and Wales have exclusive jurisdiction.
